The Corporate & Commercial Practice Group offers start-up and ongoing business planning and corporate counseling services to a broad range of clients, from new ventures to established multi-million dollar revenue companies.  Our Corporate & Commercial Practice Group advises clients on the optimal organization and structure of businesses, including "C" and "S" corporations, limited liability companies, general partnerships, and limited partnerships.

We represent clients in business transactions related to negotiating, drafting and finalizing business agreements, shareholder and operating agreements, non-compete, non-solicitation and confidentiality agreements and other transactional issues.  The firm develops a customized business solution to meet its clients' needs.

The Business & Commercial Litigation Practice Group offers clients business-oriented solutions in litigation matters.  We work closely with clients and their businesses to efficiently analyze claims and advise clients of the proper course of action.

We are experienced trial attorneys capable of litigating any business dispute. Our attorneys regularly appear in state and federal trial and appellate courts, and other dispute resolution forums. We represent clients in commercial and business litigation matters including those related to contracts, banking and lending issues, real estate disputes, employment disputes and other commercial litigation matters.

Representative business and commercial litigation engagements have included:

  • Representing a client in business dispute before the Illinois Supreme Court regarding statutory notice required before filing automotive consumer fraud lawsuit.
  • Representing an automobile dealer in a class action lawsuit alleging dealership failure to disclose material information prior to sale.
  • Representing clients in claims against former employees for breach of employment agreements, including breach of non-compete and non-solicitation covenants.
  • Representing business entities and individuals in a variety of complex contractual disputes.
  • Shareholder and member disputes.
  • Lender and individual real estate foreclosures.

The Real Estate Practice Group provides result-oriented advice to real estate sellers and buyers in residential transactions, including the negotiation, preparation, review and modification of real estate contracts and documents.

The firm advises commercial and individual clients regarding issues related to closings, inspections, financing, title insurance matters, and real estate taxes. In addition, the firm represents and advises real estate owners, developers and investors in connection with the formation of owner entities; preparation of corporate agreements and operating agreements; contract negotiation, preparation and review; project due diligence; survey issues; financing issues; preparation of condominium documents; and construction-related issues.

We have represented landlords and tenants, title companies, condominium associations, and homeowners in various real estate related matters.
